1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Client") and Clients & Profit LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company operating under the brand Selling Made Simple™.

By accessing our website, purchasing any product or service, booking a session, or otherwise engaging with our business, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. Services Offered

Clients & Profit LLC provides sales training, coaching, and educational products for coaches, including but not limited to:

• Digital courses and mini-courses (including the Selling Made Simple™ program)
• Downloadable workbooks, PDF guides, and AI prompt collections
• One-on-one Sales Diagnostic sessions
• Group coaching programs
• Lead magnets and free educational resources
• Assessments and self-evaluation tools via ScoreApp

All services are educational and informational in nature. Results vary by individual and are not guaranteed.

3. Purchases and Payment

Payment Processing

All purchases are processed through Stripe. We accept credit cards, debit cards, and ACH bank transfers. Payments may be completed through order forms hosted on GoHighLevel (GHL) or direct payment links generated through Stripe.

Pricing

All prices are listed in U.S. dollars. We reserve the right to change pricing at any time. Price changes do not affect purchases already completed.

Order Bumps and Upsells

At the time of purchase, you may be offered optional add-on products. These are presented clearly before any charge is applied. By selecting an add-on, you authorize the additional charge.

Recurring Charges

If you enroll in any subscription or payment plan, you authorize recurring charges on the schedule disclosed at checkout. You are responsible for ensuring your payment method remains current and valid.

4. Refund Policy

Digital Products

Unless otherwise stated at the time of purchase, due to the instant-access nature of digital products (courses, workbooks, PDFs, and AI prompt collections), all sales are final and non-refundable once access has been delivered. Please review product descriptions carefully before purchasing.

Sales Diagnostic Sessions

The $297 Sales Diagnostic fee is non-refundable once the session has been conducted. If you need to reschedule, you may do so up to 24 hours before your scheduled session. Failure to appear without notice forfeits the session fee.

Group Coaching Programs

Refund eligibility for group coaching programs, if any, will be specified at the time of enrollment. In the absence of a specific refund policy communicated at checkout, all sales are final.

Exceptions

We reserve the right to issue refunds on a case-by-case basis at our sole discretion. Requesting a chargeback without first contacting us constitutes a breach of these Terms and may result in termination of access to all products and services.

5. Access and Delivery

Digital products are delivered via email or through our membership platforms (GoHighLevel and Skool) immediately or within a reasonable time following purchase confirmation. You are responsible for providing a valid email address at checkout.

Access to course content, communities, and digital assets is granted to you personally and is non-transferable. You may not share login credentials, distribute course materials, or resell any content purchased from us.

6. Intellectual Property

All content created and distributed by Clients & Profit LLC — including but not limited to course videos, lesson scripts, workbooks, AI prompts, PDF guides, website copy, and brand materials — is the exclusive intellectual property of Clients & Profit LLC and is protected by applicable copyright, trademark, and intellectual property laws.

The name Selling Made Simple™ and associated branding are proprietary to Clients & Profit LLC. You may not reproduce, distribute, republish, resell, or create derivative works from our content without express written permission.

Personal use of purchased materials for your own sales process is permitted. Commercial reproduction or redistribution is strictly prohibited.

7. Disclaimer of Results

We make no representation that you will achieve specific sales results, revenue outcomes, or business growth from participating in our programs. Nothing in our content constitutes a promise or guarantee of income or success.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Clients & Profit LLC, its members, managers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of or inability to use our services
• Any errors or omissions in our content
• Unauthorized access to your data or account
• Business decisions made based on our educational content

Our total liability to you for any claim arising from or related to these Terms or our services shall not exceed the amount you paid to us in the 90 days preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of harmful components.

10. User Conduct

By using our services, you agree not to:

• Reproduce, distribute, or resell any of our content or materials
• Share access credentials with others
• Use our content to create competing products or services
• Engage in fraudulent chargebacks or payment disputes without first contacting us
• Harass, defame, or make false statements about our business or personnel
• Violate any applicable law in connection with your use of our services

Violation of these conduct standards may result in immediate termination of access to all products and services without refund.

11. Testimonials and Endorsements

Testimonials displayed on our website and in our marketing materials reflect the genuine experiences of real clients. Individual results are not typical and are not guaranteed. Testimonials are used for illustrative purposes only and do not constitute a promise of similar results.

12. Third-Party Platforms

Our services rely on third-party platforms including Stripe, GoHighLevel, ScoreApp, Vidalytics, Skool, and others. We are not responsible for the availability, terms, or actions of these third-party services. Your use of those platforms is subject to their respective terms of service and privacy policies.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any dispute arising from or related to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in Wyoming.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Clients & Profit LLC.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our services after any modification constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clients & Profit LLC with respect to your use of our services and supersede all prior agreements, communications, or understandings.
